1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and clarionto ("Company," "we," "our," or "us") governing your use of our AI financial assistant services, including Financial Calendar Coordinator, Healthcare Business Analytics, and Comprehensive Financial Awareness (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

These Terms apply to all users of our Services, including both individual subscribers and business entity subscribers.

2. Definitions

For purposes of these Terms:

• "Service" refers to clarionto's AI financial assistant platform and all associated features, tools, and capabilities.
• "User" means any individual or entity that creates an account and subscribes to our Services.
• "Content" includes all financial data, reports, insights, and communications generated through or stored in the Service.
• "Agreement" means these Terms together with our Privacy Policy and any service-specific terms.
• "Subscription" refers to your paid access to our Services on a monthly recurring basis.

3. Eligibility & Account Registration

Age Requirement

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement.

Account Registration

To access our Services, you must create an account by providing accurate, current, and complete information. You agree to:

• Maintain the accuracy of your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Account Security

You are responsible for maintaining the confidentiality of your account credentials. We require multi-factor authentication for additional security. You agree not to share your account credentials with any third party.

4. Service Description

clarionto provides AI-powered financial management services designed to help users monitor financial obligations, understand patterns, and receive relevant insights. Our Services include:

Financial Calendar Coordinator

A time-oriented personal finance management service that tracks bills, recurring expenses, and financial deadlines with calendar integration.

Healthcare Business Analytics

Specialized financial intelligence for Singapore healthcare providers, tracking patient billing, insurance claims, and revenue cycles.

Comprehensive Financial Awareness

Integrated personal financial management consolidating information from multiple accounts into a unified dashboard.

Service Availability

We strive to maintain continuous service availability but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or technical issues. We will provide advance notice of planned maintenance when possible.

5. User Responsibilities

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Introduce malicious code, viruses, or harmful software
• Interfere with or disrupt the operation of our Services
• Use automated systems to access our Services without authorization
• Reverse engineer, decompile, or disassemble any aspect of our Services
• Use our Services to facilitate illegal activities or money laundering

Data Accuracy

You are responsible for ensuring the accuracy of financial account connections and information you provide. While our AI learns from your data, the quality of insights depends on data accuracy.

Financial Decisions

You acknowledge that clarionto provides information and insights but does not provide financial advice. You are solely responsible for your financial decisions. You should consult qualified financial advisors for specific financial guidance.

6. Payment Terms

Subscription Fees

Our Services are available through monthly subscription plans:

• Financial Calendar Coordinator: SGD 368 per month
• Healthcare Business Analytics: SGD 1,388 per month
• Comprehensive Financial Awareness: SGD 1,888 per month

All prices are in Singapore Dollars and exclude applicable taxes unless otherwise stated.

Payment Methods

We accept credit cards, debit cards, and electronic bank transfers. You authorize us to charge your payment method on a recurring monthly basis. You must maintain a valid payment method on file.

Billing Cycle

Your subscription begins on the date of your initial payment and renews automatically each month on the same date. We will charge your payment method at the beginning of each billing cycle.

Price Changes

We reserve the right to modify subscription fees with 30 days' advance notice. Price changes will not affect your current billing cycle but will apply to subsequent renewal periods. Continued use after price changes constitutes acceptance of new pricing.

Refund Policy

Subscription fees are non-refundable except as required by law or at our sole discretion. If you cancel your subscription, you will retain access through the end of your current billing period but will not receive a prorated refund.

7. Intellectual Property Rights

Company IP

All intellectual property rights in our Services, including software, algorithms, user interfaces, designs, and content, are owned by or licensed to clarionto. These Terms do not grant you any ownership rights in our intellectual property.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our Services for your personal or business financial management purposes. This license terminates upon subscription cancellation.

User Data

You retain all rights to your financial data. By using our Services, you grant us a limited license to process your data as necessary to provide the Services, as described in our Privacy Policy.

Restrictions

You may not copy, modify, distribute, sell, or create derivative works from our Services without our express written permission.

8. Disclaimers

Service Provided "As Is"

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

No Financial Advice

clarionto is not a financial advisor, and our Services do not constitute financial, investment, legal, or tax advice. The insights and information provided are for informational purposes only. You should consult qualified professionals for advice specific to your situation.

Data Accuracy

While we strive for accuracy, we do not guarantee the accuracy, completeness, or timeliness of the information provided through our Services. You are responsible for verifying all information before making financial decisions.

Third-Party Services

Our Services may integrate with third-party financial institutions and services. We are not responsible for the availability, accuracy, or performance of these third-party services.

9. Limitation of Liability

To the maximum extent permitted by Singapore law:

• clarionto shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Services.
• Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in subscription fees during the 12 months preceding the claim.
• We are not liable for any losses resulting from unauthorized access to your account if you failed to maintain adequate security measures.
• We are not liable for financial losses resulting from your decisions based on information provided through our Services.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability is limited to the extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless clarionto, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

11. Term & Termination

Subscription Term

Your subscription continues on a month-to-month basis until cancelled by either party.

Cancellation by User

You may cancel your subscription at any time by providing 14 days' notice through your account settings or by contacting our support team. Cancellation becomes effective at the end of your current billing period.

Termination by clarionto

We may terminate or suspend your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Pose a security or liability risk to our Services or other users

Effects of Termination

Upon termination, your access to the Services will cease immediately. We will retain your data as described in our Privacy Policy. You may request data export within 30 days of termination.

12. Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Singapore.

Informal Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve any disputes informally by contacting us at [email protected]. We will work in good faith to resolve disputes within 30 days.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and clarionto regarding the Services and supersede any prior agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor in interest.

Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, government actions, or telecommunications failures.

14. Changes to Terms

We may modify these Terms at any time to reflect changes in our Services, legal requirements, or business practices. Material changes will be communicated through:

• Email notification to your registered account
• Prominent notice within our Services
• Updated "Last Updated" date at the top of these Terms

Continued use of our Services after changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription.
